DON SMITH recently retired as CEO and President of Smith & Company LLC, an international business consulting firm specializing in business planning with emphasis on sales and marketing, strategic alliances, acquisitions and divestitures, Federal Supply Schedule with GSA, capital infusion, business continuity, market research/analysis and general business consultation. During over forty years of sales, marketing and management experience Smith pioneered many techniques in sales and marketing now utilized by several major corporations. He is also an experienced executive in Business Continuity and Disaster Recovery.


Professionally active he has served or is serving on several boards of directors and advisory boards including OnDisplay that recently sold to Vignette Corporation for $1.8billion. Magnio, Inc., Carnegie Center, Page Publishing, and Purdue University Extension Board to name a few. Mr. Smith lives with his lovely wife, Kathy, in the Floyds Knobs, Indiana area near metropolitan Louisville, Kentucky. Don has been working actively with SkyWay since October of 2006 and also Chairs our Compensation Committee and Advisory Board


Hans Anderson


Hans Anderson began his career in research and design under Douglas Trumbull, the father of visual effects for film, at Entertainment Design Workshop, north of New York City. Serving as CIO for both EDW and later, Mitchell Kriegman (Saturday Night Live, creator of The Rugrats, Clarissa Explains All, Disney's Book of Pooh, Bear in the Big Blue House, and PBS Kids' It's a Big, Big World) at Shadow Projects in Manhattan, Hans helped to pioneer the integration of experimental real-time graphics with film/television production via his expertise in software, systems and information design.


The first use of the technology created by Trumbull, Kriegman, Lacombe, and Hans was the Emmy award-winning Disney television serial, The Book of Pooh(2001).


Most recently, HVANDERSON continues this work with software design and implementation for Nasdaq on Times Square, NYC and the successful first season of PBS's It's a Big Big World in the spring of 2006. Hans studied English Literature at Wheaton College, undergraduate and graduate work in Literature at the University of Connecticut, with an additional emphasis in Latin. A graduate of Maryland Institute College of Art, where he studied design under critic/author/curator Ellen Lupton and Pentagram Design partner Abbott Miller.

Dennis Michael Clare, Sr.


Dennis Clare graduated from St. Xavier High School and obtained a Bachelor of Arts Degree from Belmont Abbey College and a JD Degree from the University of Louisville. Mr. Clare has been in the private practice of law in Louisville, Kentucky concentrating in international law and immigration and Naturalization from 1968 to present.


Mr. Clare established AmroQ International, Ltd. with two other shareholders in 1990 to develop franchises in the newly developed Eastern European countries. In 1990 AmroQ established Quandrant/AmroQ Bottling, Limited, the exclusive Pepsi bottler and distributor for Romania and Moldova which developed into one of the major enterprises in Romania with over 1,500 employees and was ultimately sold to PepsiAmericas, a Fortune 500 Company, in 2006.


In 2007 Mr. Clare and his colleagues from Quandrant/AmroQ Bottling Company Ltd. Formed Quandrant European Beverages (Bulgaria), Ltd., and purchased Agrima, the exclusive bottler and distributor for Bulgaria. The new owners are currently rehabilitating and revitalizing this Pepsi franchise in Bulgaria at the urging of Pepsico, International.


Kevin S. Grangier, APR

Following his career in GE, Joe founded Kehlbeck & Associates, a software development and consulting group. Served on Board of Directors of Philippine Appliance Co. and Mercer County Hospital. Mayor City of Prospect. On Advisory Board of dot.com company OnDisplay.


Merrily Orsini


Merrily Orsini is a multiple award-winning business leader based in Louisville, Kentucky. She is the Managing Director for corecubed, a strategic integrated marketing communications company that specializes in monthly marketing communications programs for companies that provide at-need services. An accomplished entrepreneur, her business expertise and marketing savvy have garnered a number of awards for Orsini over the years, including a prestigious Ernst & Young Entrepreneur of the Year award. William G. Strench


William G. Strench is a member of Frost Brown Todd LLC’s Louisville office. Mr. Strench’s practice focuses on securities and corporate law with an emphasis on venture capital and private equity financing, public offerings and mergers and acquisitions. In this capacity, Mr. Strench has represented numerous businesses, from start-ups to public companies. He has also represented a number of venture capital funds and is a member of the Board of Directors of Commonwealth Seed Capital, LLC. He served on the KBA Committee which drafted the Kentucky Limited Liability Company Act and registered limited liability partnership legislation. Mr. Strench has written and spoken on numerous continuing legal education topics and was an Adjunct Professor of Law at the University of Louisville Law School in 1995 (Corporate Finance) and in 1999 (Venture Capital) and received the Gordon Davidson Teaching Award from the University of Louisville. Mr. Strench is the Chairman of the Frost Brown Todd Emerging Businesses and Venture Capital Group. He was named in the 2006 Best Lawyers in America and was ranked in Chambers USA, America’s Leading Lawyers for Business for 2006. Mr. Strench served as a law clerk for the Hon. Robert F. Chapman, a judge on the United States Court of Appeals for the Fourth Circuit and is a graduate of Vanderbilt University, summa cum laude, and Yale Law School.


George T. Underhill, III (Todd)


Todd received a B.A. degree in Business and Accounting from Miami University of Ohio in 1977 and received a J.D. degree from the University of Louisville in 1980. Mr. Underhill maintains a license for the practice of real estate, and has in the past maintained both public accounting and law licenses in the Commonwealth of Kentucky. His areas of expertise include financing and development.


Mr. Underhill previously served as a director of ThermoView (Public Company) since October 2000, and was Chairman of the THV Audit Committee. He is also a member of the King Southern Bank Board. Mr. Underhill also maintains director positions with numerous charitable and civic organizations located within the Louisville, Kentucky metropolitan area. Underhill Associates owns and/or manages approximately 1,000 Multi-Family units, five (5) office properties, development ground, retail properties, property management, brokerage, projects maintenance, and construction companies, all located in Louisville, Kentucky. Underhill Associates has operated in Louisville since 1971.


Todd is married to Colleen and has four (4) children. His son, Colin, has joined forces at Underhill Associates (Real Estate Development Company) and two daughters Jordan and Channing. Oldest son, Townsend, is Director of Real Estate Development for Stirling Properties in New Orleans.
